1. Parties and definitions

These Terms and Conditions ("Terms") constitute a legally binding agreement between:

The Provider: RJ Digital HUB SLU (trading as "UndercoverLab" / "Ulab"), registered in the Principality of Andorra, with registered office at C/ de la Sardana 3, altell escala B, AD500 Andorra la Vella, NRT L-713047-Z (hereinafter "we", "us", "the Company").

The User: Any natural or legal person who accesses, downloads, registers for, or uses the ResidenceSafe application or website (hereinafter "you", "the User").

In these Terms:

• "Service" means the ResidenceSafe mobile application (iOS and Android), the website residencesafe.com, and all related features, functionalities, and content.
• "Subscription" means any paid plan (Premium or PRO) purchased through the Apple App Store or Google Play Store.
• "Check-in" means a location-verified, biometrically authenticated record created by the User through the application, combining facial liveness verification, certified geolocation, a timestamped photo, and a device fingerprint.
• "Report" means a certified document (PDF or CSV) generated by the Service documenting the User's check-in history, aligned with eIDAS standards.
• "Blockchain Certificate" means an immutability certificate generated by writing the SHA-256 hash of a check-in record to a distributed ledger, available on the PRO plan.
• "IGI" means the Impost General Indirecte, the indirect tax applicable in the Principality of Andorra at a rate of 4.5%.

2. Acceptance of terms

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, you must not use the Service. Continued use of the Service after changes to these Terms constitutes acceptance of the modified Terms.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3. Description of the service

ResidenceSafe is a certified presence-record application that allows users to:

• Create biometrically verified check-ins recording their physical presence at a specific location and time, using facial liveness detection at eIDAS HIGH assurance level provided by a certified third-party verification processor (see Privacy Policy, Section 8 for current provider details).
• Capture certified geolocation through multi-layer corroboration: GPS coordinates (6-decimal precision with altitude), Wi-Fi (SSID/BSSID), cellular network (LTE/5G), and device fingerprinting.
• Benefit from anti-spoofing protections including simulated GPS detection, VPN detection, and node distance coherence checks.
• Track residency across multiple countries with 183-day monitoring.
• Generate eIDAS-aligned reports (PDF, CSV) documenting their location history.
• Obtain blockchain-based immutability certificates with SHA-256 hash integrity (PRO plan).
• Receive automatic daily reminders at 12:00, 20:00, and 23:00 if no check-in has been completed for the day.

The Service is provided as a Software-as-a-Service (SaaS) tool. ResidenceSafe does not provide legal, tax, or immigration advice. The reports and certifications generated by the Service are supporting documentation and do not constitute official government records or legal determinations.

4. Account registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share them with third parties.
• Notify us immediately at hello@residencesafe.com if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that provide false information, are used for fraudulent purposes, or violate these Terms.

5. Subscription plans and pricing

The Service offers the following tiers:

All prices are listed in Euros (EUR). The applicable IGI (4.5%) or other taxes will be applied at the point of purchase based on your country of residence, as determined by the App Store or Play Store.

We reserve the right to modify pricing at any time. Any price change will take effect at the start of your next billing cycle. You will be notified at least 30 days before any price increase takes effect, and you may cancel your Subscription before the new price applies.

6. In-App purchases and payment

All Subscriptions are purchased through Apple App Store (for iOS) or Google Play Store (for Android) as in-app purchases. By subscribing, you agree to the following:

• Payment is processed exclusively by Apple or Google as the merchant of record. We do not collect, process, or store your payment card details.
• Your purchase is subject to the applicable store's terms of service: Apple Media Services Terms or Google Play Terms of Service.
• The price displayed in the store at the time of purchase is the price you will be charged, including any applicable taxes.
• Payment will be charged to your Apple ID or Google account at confirmation of purchase.

7. Auto-renewal and cancellation

7.1 Auto-renewal

Subscriptions are auto-renewable. Your Subscription will automatically renew at the end of each billing period (monthly or annually) at the then-current price, unless you cancel at least 24 hours before the end of the current period.

Your account will be charged for renewal within 24 hours prior to the end of the current billing period.

7.2 how to cancel

You may cancel your Subscription at any time through:

• iOS: Settings > Apple ID > Subscriptions > ResidenceSafe > Cancel Subscription.
• Android: Google Play Store > Menu > Subscriptions > ResidenceSafe > Cancel.

Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. No partial refunds are issued for unused time within a billing period.

Deleting the app from your device does not cancel your Subscription. You must cancel through the App Store or Play Store.

8. Free trial

We may offer free trial periods for Premium or PRO plans. If a free trial is offered:

• The trial duration and terms will be clearly stated before you subscribe.
• At the end of the trial, your Subscription will automatically convert to a paid Subscription at the standard price unless you cancel at least 24 hours before the trial ends.
• Any unused portion of a free trial is forfeited when you purchase a Subscription.
• Free trials are limited to one per Apple ID or Google account.

9. Refunds

Since payments are processed by Apple and Google, refund requests must be submitted directly to the respective platform:

• Apple: reportaproblem.apple.com
• Google: Google Play refund support

We do not have the ability to issue refunds for purchases made through the App Store or Play Store. Refund eligibility is determined by Apple's or Google's refund policies.

In accordance with Andorran consumer protection law (Llei 13/2013 de Comerc), digital content delivered immediately upon purchase is exempt from the right of withdrawal once delivery has begun with the consumer's prior express consent.

10. Acceptable use

You agree to use the Service only for its intended purpose and in compliance with applicable law. You shall not:

• Use the Service to generate false, misleading, or fraudulent location records.
• Attempt to spoof, fake, or manipulate GPS or location data, including the use of simulated GPS tools, VPNs, or location-masking software.
• Attempt to bypass or circumvent biometric verification, anti-spoofing protections, or device integrity checks.
• Use automated tools, bots, or scripts to interact with the Service.
• Reverse-engineer, decompile, or disassemble any part of the application.
• Share, resell, or sublicense your account or the Service to third parties.
• Use the Service for any illegal activity, including but not limited to tax evasion, immigration fraud, or document falsification.
• Attempt to circumvent security measures, access controls, or rate limits.

Violation of these rules may result in immediate account termination without refund and, where applicable, reporting to the relevant authorities.

11. Intellectual property

All intellectual property rights in the Service, including but not limited to the application code, design, brand name, logos, user interface, documentation, and generated report templates, are owned by RJ Digital HUB SLU and protected under Andorran and international intellectual property law.

You retain ownership of your personal data and check-in records. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service as described in our Privacy Policy.

The ResidenceSafe name, logo, and brand elements are trademarks of RJ Digital HUB SLU. You may not use them without prior written consent.

12. Data and privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data in compliance with the Andorran Qualified Law 29/2021 (LQPD) and the EU General Data Protection Regulation (GDPR).

By using the Service, you consent to the collection and processing of data as described in the Privacy Policy. You may exercise your data protection rights (access, rectification, erasure, portability, and others) by contacting dpo@residencesafe.com.

Key data handling principles:

• All data is encrypted at rest (AES-256) and in transit (TLS 1.2+).
• Biometric data is processed by our certified third-party identity verification provider (see Privacy Policy, Section 8 for current provider details and safeguards under GDPR Article 28). Biometric profiles are custodied separately from your account data held by ResidenceSafe and cannot be associated with you outside of an active verification session.
• Location sensors are accessed for less than 30 seconds per check-in. No background tracking.
• Your private key is known only to you and is never stored on our servers.
• Records are irreversible: neither the User nor ResidenceSafe can alter a certified check-in.

13. Location data and certifications

ResidenceSafe is a location-verification service that uses three independent layers to certify each check-in:

13.1 biometric verification

Each check-in requires facial liveness verification at eIDAS HIGH assurance level, performed by our certified third-party identity verification provider. This confirms that a real, live person (not a photo, video, or mask) is performing the check-in. Biometric verification cannot be bypassed or delegated.

13.2 certified geolocation

Location is captured at 6-decimal GPS precision with altitude (3D) and corroborated through multiple independent signals: Wi-Fi (SSID and BSSID/MAC address), cellular network (LTE/5G tower), connection type, and device fingerprint (device model, OS, IP, unique hash). Anti-spoofing measures include simulated GPS detection, VPN detection, and node distance coherence checks. A photo with EXIF data, coordinates, and timestamp is linked to the biometric verification.

13.3 Blockchain certification (PRO)

For PRO plan users, a SHA-256 hash of each check-in record is written to a distributed ledger, creating a tamper-proof, third-party-verifiable certificate. A downloadable certificate is available for use with courts, authorities, or auditors.

13.4 limitations

While we apply multiple verification layers to maximize reliability:

• We do not guarantee absolute precision of location data. GPS accuracy typically ranges from 3 to 15 meters in optimal conditions.
• Reports and blockchain certificates generated by the Service are supporting documentation based on best-effort verification. They are not equivalent to official government documents, court certifications, or notarized records.
• The legal validity and admissibility of ResidenceSafe reports depends on the jurisdiction and the specific regulatory or legal context in which they are used. We recommend consulting a qualified legal professional before relying on these records for official proceedings.
• We are not responsible for decisions made by third parties (tax authorities, immigration offices, courts, or other bodies) based on the records generated by the Service.

14. Service availability

We aim to provide the Service with maximum availability. However, we do not guarantee uninterrupted, error-free, or continuous access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice when possible).
• Emergency maintenance or security patches.
• Force majeure events (natural disasters, government actions, infrastructure failures).
• Issues with third-party services (Apple, Google, identity verification provider, cloud providers, blockchain networks).

We are not liable for any loss or damage resulting from temporary unavailability of the Service.

15. Limitation of liability

To the maximum extent permitted by applicable law, including Andorran law:

• The Company's total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months immediately preceding the claim.
• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business opportunities, or reputational damage.
• The Company shall not be liable for any damages arising from your reliance on the accuracy of location data, reports, or certifications generated by the Service.
• The Company shall not be liable for any actions, decisions, or consequences imposed by third parties (including tax authorities or government agencies) based on information provided by the Service.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

16. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will meet your specific requirements or expectations.
• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Service will be accurate, reliable, or complete.
• Any errors in the Service will be corrected.

17. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any fraudulent, misleading, or inaccurate information you provide through the Service.
• Your infringement of any third-party rights.

18. Termination

18.1 termination by you

You may terminate your use of the Service at any time by cancelling your Subscription (see Section 7) and deleting your account through the app (Settings > Delete Account).

18.2 termination by us

We may suspend or terminate your account and access to the Service immediately, without prior notice, if:

• You breach these Terms, particularly the Acceptable Use provisions (Section 10).
• We are required to do so by law or a court order.
• We reasonably believe your use poses a security risk or may cause harm to other users or the Service.

Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination by contacting hello@residencesafe.com. After 30 days, your data will be deleted in accordance with our Privacy Policy.

19. Modifications to terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last updated" date at the top of this page.
• We will notify you via email or in-app notification at least 30 days before the changes take effect.
• Continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.
• If you disagree with the changes, you must stop using the Service and cancel your Subscription before the new Terms take effect.

20. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Principality of Andorra.

Any dispute arising from or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the Principality of Andorra (Batllia d'Andorra).

If you are a consumer resident in the European Union, you may also have the right to submit a dispute to the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Nothing in these Terms affects your statutory rights as a consumer under applicable mandatory consumer protection laws.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
